problem with latest drivers: lockup and black screen

I have changed kernel to 2.4.20 and faced problem:
when i try to exit X or change to console, i get black screen and system lock up.
2 times i was able to shut down X, but i'm unable to reproduce this


I have GeForce 2 mx400.
i used latest driver NVIDIA-Linux-x86-1.0-4363.run
i use ASPLinux 7.3

i have athlon 1333
my motherboard is kt266-based, elitegroup.

strange enough, i get the _same problem_ even with "nv" driver!

any workaround?

thats my config
log would not help - system lochks up and can not sync disks ;[
