I have a weird problem with my newly built computer, after I leave it on for a minute or two, the computer will automatically turn off. I can't change the bios or install any OS because of it. When I am in the bios settings, the computer will immediately shut down after ten seconds or so. The cpu and case fan turn on, and from what I was able to see in the bios, the CPU temperature was only 32C. I've been trying to narrow down the problem, here are the computer specs:

Athlon XP2000+ Palomino CPU (from Fry's)
Crucial Micron 256mb DDR (from newegg)
Asus A7N266-VM motherboard (from newegg)
CODEGEN 350W PSU (+3.3V = 20A, +5V = 30A, +12V = 12A) (from newegg)

I've tested the motherboard with different parts, such as a
better power supply, and 128mb PNY DDR ram. I've also tried placing the RAM in the other RAM slot. There is no AGP videocard connected, I'm using the integrated Geforce2. I don't know what bios version the MB has, but I'm afraid to update it since there the computer can shutdown during the process. I didn't change any jumpers, the RAM and FSB are set to 133 by default.

Does anyone have any ideas? I have some ideas, but I doubt it'll work. I'm going to change the jumpers to turn off the Wake-on-LAN, USB, and keyboard, and try my other Crucial RAM. I don't it is the CPU overheating, this motherboard is supposed to play high frequency beeps if the CPU overheated. If anyone could help, I would appreciate it.

I would just check to make sure there is proper contact between the CPU and the heatsink. A thin application of thermal grease is all that is needed.
