Video Encoding

I need some tips, I have a 300mb video file that I want to break down to 150mb or less and to half the resolution. Basically I want to put some TV Resolution videos on my 8525 (Pocket PC). I would prefer wmv codec since its the default but I have applications that play most common codecs.

Anyone got some tips or suggestions?

Basic stats im looking to get are...

320x240 resolution
~100mb (or less)
wmv codec prefered
