Default PC shutdown issue

I've been having problems with my system randomly shutting down.
I purchased everything but the GTX 470 new a couple weeks ago (Newegg).
It will run from hours to several days, but the problem is always the same, it simply shuts down.
No BSOD in spite of setting windows so it should not automatically restart on error.
After this it will often cycle attempting to restart, I get one blue LED on the board, then all of them, at which point it restarts again.
I clear the CMOS and it will usually, finally run again, although I am running defaults in the BIOS.
I'm at the point now however where I cannot get it to run for more than a few minutes before shutting down.
I have not upgraded for four years so this is incredibly frustrating, as when this thing actually runs it's quite awesome.
Considering the high quality PSU I'm leaning towards a bad MB, but honestly I'm not sure what I should do.
