I currently have the GTX260 Overclocked(see sig), Ive been thinking of upgrading to a BFG GTX285 OCX Edition.
My question is this ... Will i notice a nice enough difference to justify £320? is the card much faster?

I don't think that's a good deal if you ask me, you prob going to see the maximum of 15%-25% of performance increase, butta with next gen DX11 on the bow, you should just wait for the next gen.

End of the year the performance has not been disclosed but expect around 50% or so improvement.

A moderately overclocked GTX 260 core 216 should perform withing 5% of the performance of a stock GTX 280. The jump from there to a GTX 285 is negligible, though I suppose if you had something like the EVGA setup-up program behind you, why not? As others have said, waiting for the next gen of cards would be your best bet.

I'd wait for next gen considering the OC you have. Even more so if that's a 216SP card.

Narr its not a 216 core ... to be honest theres only two games ive played that i cant play max settings(Crysis & Age of Conan) ..
Wonder what power psu one of these next gen top end cards would need? Becasue my 580W wont cut it lol .... Serverd me well over the years so far though.

I concur - keep the 260 and wait. I have the EVGAGTX260 216core OC'd and it runs extremely fast, and cool. I play Crysis @ 1920x1200 maxed w/ 2AA @ 25FPS.....nice. The game will slow just a bit w/ very intense scenes, but not bad enough to justify an expense upgrade. All other games run fully maxed out.
Im curious to see what ATI will bring to to the table as well.......... Kapt

Yes you will see a performance increase, if you game at 1920x1200,but I don't think it is worth 320,when the new GTX300 is supposed to be out in september or rumor to be,I don't look for it untill the end of the year.
