Default AMD64 Computer freeze

I have just made this new sistem:
CPU 3000+ AMD64
MB MSI Neo2 Platium NForce3 250
RAM Samsung Original 512
HDD Sata Maxtor 8Mb cache
Video RAdeon 9550 256Mb ram

I have instaled ME, 2003, XP-64bit.
Sistem freeze on ME and 2003
I don't know if XP-64 freeze becauze i don't like to use it..i can enter on the net just wit IE64bit that is not suported eaven by microsoft uppdate page LOL.

The freeze that hapens is not giving no blue screen, I have to reset computer, and after windows is not making no error report.

What i tryed: I have change the RAM..same thing
I have changed the video card..same
uppdate bios...same
install AMD drivers from amd.com...same

So..What shoud i do, where is the problem??
And one more thing
After installing amd cpu drivers my CPU is running at 1Gb (200x5) eaven if in bios i have manual set multiplicator at 9X. And there are some other aplication on AMD.com that works on XP but i can't instal in 2k3. What should i do to install them..

Why i chose 2k3(32) and not XP(32)?? Well i have made some experiments and seems that 2k3 use bether the resource than XP..That's why, and is faster..
