Angry kernel panic 6200agp red hat desktop 4

hi i use nvidia 6200 agp 256mb on asrock intel 865 chipset motherboard.
i can't even boot in linux. it gives a kernel panic error.
if i set the graphics card to my onboard card from BIOS, linux runs fine. i downloaded the latest nvidia driver for linux today and i tried installing it. it says that it needs to download a kernel module or something.. i don't have internet on linux so i cancelled it.
anyways the installation went fine and in the end it showed that installation was successful.
then i modified those files as required. then after shutting down linux i set the default graphics card to nvidia 6200 linux still fails to boot. it gives the exact same error.
please help me.. i am getting very irritated.

Could you write down and post what you see in the 2-3 lines before the kernel panic? I rather doubt that this is directly an nvidia-related problem. It sounds more like a generic kernel/boot configuration issue that you just happen to be bumping into while trying to get the nvidia stuff configured.

well. if its not a problem with the graphics card, then why does it fail to do only when my graphics card is enabled?
anyways this is all i can get from the error message..
Call trace:
..
..
..
..
[ some mem address] pci_register_driver 0x85/oxa1
[ `` ``] rtl 8139_init_module+ ..some hex
[ `` ``] sys_init_module + ..somehex
[ `` ``] sys_call+ ..some hex
Code:
lots of hex stuff
<0> Fatal exception: Panic in 5 seconds
Kernel panic - not syncing fatal exception

i just downloaded the latest bios version from my motherboard website.. still doesn't help... linux just doesn't want to boot with my graphics card.

are you guys going to help me out or should i just consider that linux doesn't work with my graphics card/motherboard setup? in that case, i will just end up removing linux (yet again.. for the fifth time)and getting some valuable free space.
