which cpu is better out of the two and why?

Same thing as far as I know. That Viiv junk is just Intel's home entertainment branding.

So the Viiv is just multimedia software? and the Viiv version is verified and tested to work with Intel cpu's? .... no performance difference?

Viiv is just a hardware/software certification like Centrino (Intel CPU/chipset/wireless) is.
